Please read these terms carefully before engaging our services. By commissioning any service from Bua Digital, you indicate that you understand and accept these terms.

1. About These Terms
These terms govern the relationship between Bua Digital ("we", "us", "our") and any person or organisation ("you", "the Client") who engages our services. Our services include the Quiet Discovery assessment, the Gentle Integration setup, and the Caretaking Plan, as described on our website and in individual service agreements.
These terms are governed by the laws of Thailand. Any disputes arising under them shall be subject to the jurisdiction of Thai courts.
2. Engaging Our Services
An engagement begins when both parties have agreed in writing — whether by signed agreement, confirmed email exchange, or another documented form — on the scope, price, and expected timeline of the service.
We reserve the right to decline any engagement without obligation to provide a reason. This does not happen often, but it may occur where a proposed scope falls outside our area of expertise, or where we believe we cannot serve a client well.
Quotes and estimates provided before an engagement begins are not binding offers. A final scope and price will be confirmed in writing before work starts.
3. Fees and Payment
Our service fees are stated in Thai Baht (฿) and are inclusive of any applicable taxes unless stated otherwise. Fees are as follows unless modified by a written agreement:
- Quiet Discovery: ฿4,300, payable in full prior to commencement.
- Gentle Integration: ฿10,400, payable 50% at commencement and 50% upon delivery of the handover session.
- Caretaking Plan: ฿16,900 per month, payable monthly in advance. The first payment is due before the first review month begins.
Payments not received within 14 days of the due date may result in a pause of services. Bua Digital will communicate with the Client before taking this step.
4. Cancellation and Termination
Quiet Discovery: If the Client cancels before work has begun, a full refund will be provided. Once observation or interview work has started, no refund is available, though we will provide whatever partial findings are available at that point.
Gentle Integration: If cancelled after the initial 50% payment but before configuration work has started, 50% of the initial payment will be refunded. No refund is available once active configuration has begun.
Caretaking Plan: Either party may terminate this service with 30 days written notice. Monthly fees already paid are non-refundable. No fees are charged for months beyond the notice period.
Bua Digital may terminate any engagement immediately if a Client provides materially false information, requests work outside the agreed scope without amendment, or behaves in a way that makes continued collaboration impractical.
5. Scope and Deliverables
The deliverables for each service tier are as described in our service descriptions and confirmed in writing at the start of each engagement. Any work outside the agreed scope requires a written amendment and may involve additional fees.
Our recommendations are advisory in nature. The Client retains full control over what actions, if any, are taken based on our findings. Bua Digital does not take responsibility for business outcomes arising from decisions made by the Client following our advice.
Timelines given at the start of an engagement are estimates. We will communicate any significant changes to expected delivery dates as early as possible.
6. Confidentiality
We treat all information shared by the Client as confidential. This includes business operations, staff details, workflow descriptions, and any data we observe or are granted access to during an engagement.
We do not share Client information with third parties except where required by law, or where the Client has explicitly consented in writing. We do not use Client information in case studies or marketing materials without specific permission.
Clients are asked to treat information we share about our methods, tools, and assessment frameworks as confidential, as these represent the accumulated knowledge of our practice.
7. Intellectual Property
Written summaries, findings reports, and guidance notes produced during an engagement are the Client's to use and share freely within their organisation.
Our methodology, assessment frameworks, and proprietary evaluation approaches remain the intellectual property of Bua Digital and may not be reproduced, resold, or presented as the Client's own work to third parties.
Any AI tools or software configurations we help establish on the Client's systems are subject to the terms of the tool providers concerned. Bua Digital does not claim ownership of third-party tools.
8. Limitation of Liability
Bua Digital provides advisory services based on our best professional judgment. We cannot warrant any particular business outcome, productivity improvement, or financial return as a result of acting on our recommendations.
Our liability to any Client in respect of any engagement is limited to the fees paid for that engagement. We are not liable for indirect losses, loss of revenue, loss of data, or any consequential losses arising from our services or from the use or failure of any AI tool we recommend.
Nothing in these terms limits our liability for fraud, personal injury caused by our negligence, or any other liability that cannot be lawfully limited under Thai law.
9. Data Protection
We operate in accordance with Thailand's Personal Data Protection Act (PDPA). Where our services involve access to personal data belonging to the Client or their customers, we will discuss the implications in advance and will handle such data with appropriate care.

10. Changes to These Terms
We may update these terms from time to time. The current version is always published at this address. For ongoing engagements, any material changes to terms will be communicated in writing at least 30 days before they take effect.
Continued use of our services after that notice period constitutes acceptance of the updated terms.
